Terms of Service

By accessing or using NexarMarkets (the "Platform," "we," "us," or "our"), you ("User," "you") agree to be legally bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you are prohibited from using the Platform. These Terms constitute a legally binding agreement between you and NexarMarkets.

We reserve the right to update or modify these Terms at any time without prior notice. Continued use of the Platform after any such changes constitutes your acceptance of the new Terms. It is your responsibility to review these Terms periodically.

To use NexarMarkets, you must:

• Be at least 18 years of age, or the age of legal majority in your jurisdiction, whichever is greater.
• Not be a resident, citizen, or national of the United States of America.
• Not be located in a jurisdiction where prediction markets or similar activities are prohibited by law.
• Not be on any government sanctions list or designated as a restricted person.
• Have full legal capacity to enter into binding contracts.
• Not be a resident of any jurisdiction that prohibits or restricts your participation in prediction markets, including but not limited to: Cuba, Iran, North Korea, Syria, and Crimea.

We reserve the right to restrict access to users from any jurisdiction at our sole discretion. Creating an account constitutes your affirmation that you meet all eligibility requirements.

NexarMarkets explicitly prohibits access and use by any "US Person," which includes:

• Any natural person resident in the United States.
• Any entity organized or incorporated under the laws of the United States.
• Any estate of a decedent who was a resident of the United States.
• Any trust if a court within the United States has jurisdiction over its administration.
• Any account (whether held individually or jointly) held for the benefit of any of the above.

By using NexarMarkets you represent that you are not a US Person. Any US Person who circumvents this restriction through VPNs, proxies, or other technical means does so in violation of these Terms and may face immediate account termination and forfeiture of any balance.

To access certain features of the Platform, you must register for an account. When registering, you agree to:

• Provide accurate, current, and complete information.
• Maintain and promptly update your account information.
• Keep your login credentials confidential and secure.
• Accept responsibility for all activity that occurs under your account.
• Notify us immediately of any unauthorized use of your account.

You may only hold one account. Creating multiple accounts for the same person is strictly prohibited and will result in permanent suspension of all associated accounts.

NexarMarkets is a peer-to-peer prediction market platform. Users trade outcome shares on real-world events. By participating in markets, you acknowledge and agree that:

• Prediction markets involve substantial risk of loss. You may lose all funds you commit to any market.
• Past performance of any market or outcome does not guarantee future results.
• Market prices are determined by supply and demand among users and do not represent the Platform's view on the likelihood of any outcome.
• You are solely responsible for your trading decisions and any losses incurred.
• Markets may be subject to thin liquidity, which can result in significant slippage.
• We do not provide investment, financial, legal, or tax advice.
• Resolved outcomes are determined by the Platform's resolution criteria and our decision is final.

Each market on the Platform has defined resolution criteria set at the time of market creation. Resolution is based on publicly verifiable information from reputable sources. We reserve the right to:

• Delay resolution pending sufficient evidence.
• Resolve markets as "N/A" or void in cases of ambiguity, insufficient evidence, or extraordinary circumstances.
• Use our reasonable judgment when resolution criteria are unclear.
• Correct erroneous resolutions within 7 days of resolution date.

In the event of a voided market, all users will receive a full refund of their committed funds. Our resolution decisions are final and binding. Users may dispute resolutions by contacting support within 48 hours, but the final decision rests solely with NexarMarkets.

NexarMarkets charges platform fees on winning trades. Current fee structures are displayed on the Platform and may be updated from time to time. Fees are:

• Deducted automatically upon market resolution.
• Non-refundable once a market has resolved.
• Subject to change with reasonable notice to users.

We reserve the right to introduce, modify, or waive fees at our discretion. You are responsible for any taxes or duties applicable to your trading activity under your local laws.

All balances on the Platform are denominated in the Platform's internal currency unit. By depositing funds, you acknowledge:

• Deposits may be subject to minimum and maximum limits.
• Withdrawals are processed subject to identity verification and anti-money laundering checks.
• We may hold withdrawals for up to 7 business days for security review.
• Cryptocurrency deposits and withdrawals are irreversible once confirmed on-chain.
• We are not responsible for losses due to incorrect wallet addresses provided by you.
• We reserve the right to freeze accounts and balances pending investigation of suspicious activity.

You agree not to engage in any of the following:

• Market manipulation, wash trading, or coordinating with others to artificially influence market prices.
• Using bots, scripts, or automated tools to trade without our express written permission.
• Exploiting bugs or vulnerabilities in the Platform. (Please report them to us responsibly.)
• Creating fake accounts, impersonating others, or misrepresenting your identity.
• Using the Platform for money laundering, terrorist financing, or other illegal activities.
• Circumventing geographic restrictions using VPNs, proxies, or other technical means.
• Sharing insider information obtained through illegal means to trade on markets.
• Harassing, threatening, or abusing other users or Platform staff.
• Reverse engineering or attempting to access source code of the Platform.

Violation of these prohibitions may result in immediate account suspension, forfeiture of balance, and referral to law enforcement authorities.

All content on the Platform, including but not limited to text, graphics, logos, icons, images, software, and data compilations, is the property of NexarMarkets or its content suppliers and is protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Platform for personal, non-commercial purposes. You may not reproduce, duplicate, copy, sell, or exploit any portion of the Platform without our express written permission.

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

TO THE FULLEST EXTENT PERMITTED BY LAW, NEXARMARKETS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE PLATFORM.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.

You agree to indemnify, defend, and hold harmless NexarMarkets and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney's fees) arising from:

• Your use of and access to the Platform.
• Your violation of any term of these Terms.
• Your violation of any third-party right, including any intellectual property or privacy right.
• Any claim that your activity on the Platform caused damage to a third party.

We reserve the right to suspend or terminate your account and access to the Platform at our sole discretion, at any time, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, third parties, or for any other reason.

Upon termination, your right to use the Platform will immediately cease. If your account is terminated for cause (violation of these Terms), we may forfeit any remaining balance. If terminated without cause, we will make commercially reasonable efforts to allow withdrawal of your balance within 30 days.

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which NexarMarkets is incorporated, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Platform shall first be attempted to be resolved through good faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration. You waive any right to participate in class action lawsuits against NexarMarkets.

Prediction market participation involves financial risk. We encourage all users to:

• Only commit funds you can afford to lose.
• Set personal limits on your trading activity.
• Take breaks and avoid compulsive behavior.
• Seek help if you feel your trading behavior is becoming harmful.

If you believe you have a problem with compulsive trading or gambling, please contact a relevant support organization in your jurisdiction.

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Platform with a new effective date. Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the modified Terms.
